1. Acceptance of These Terms

These terms of service set out the basis on which you may use this website and the basis on which Huayou International Lithium (Hong Kong) Limited accepts lithium asset review work. By using the website you accept these terms. By sending an enquiry you confirm that you have read them. By signing an engagement note you accept them as part of that engagement, together with any specific terms written into the note.

If you do not accept these terms you should not use the website and should not send an enquiry. If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation. If you do not have that authority, please ask someone who does to review these terms before any work begins.

These terms apply to every page of this site and to every engagement unless an engagement note expressly varies them. Where an engagement note and these terms conflict, the engagement note prevails for that engagement only, and only to the extent of the conflict.

2. About the Company

This website is operated by Huayou International Lithium (Hong Kong) Limited, a company registered in Hong Kong with its office at Rm 15 5/F Hung Hom Commercial Centre Tower B, 37 Ma Tau Wai Rd, Hung Hom, Hong Kong - 999077, Hong Kong (HK). The company may be reached by email at connect@haersinvest.lat or by telephone on +18509772246.

The company operates a lithium asset review practice. It is not a mining company, not a broker, not a bank and not a law firm. It does not hold client money, does not execute trades and does not act as agent for any party in a transaction. Its work is the reading, reconciliation and written reporting of records connected to lithium assets.

The website was built and is maintained on behalf of the company by the developer known as SeekHigh. The developer supplies technical services only and is not a party to any engagement between the company and a client.

3. Use of This Website

You may view, download and print pages from this website for your own reference and for internal use within your organisation. You may quote short passages with an attribution to Huayou International Lithium (Hong Kong) Limited and a link to the page concerned. You may not republish substantial parts of the site, sell access to it, or present its content as your own work.

You must not attempt to interfere with the operation of the site, probe it for vulnerabilities without written permission, or use automated tools to copy its content in bulk. You must not use the contact form to send unsolicited commercial messages, malicious code or material that infringes the rights of another person.

We may suspend or withdraw access to the website at any time for maintenance or for any other reason. We do not guarantee that the site will always be available, and we ask that you keep a copy of anything you may need, such as a policy version or a description of a service.

4. Eligibility and Professional Use

The services described on this site are intended for professional users: companies, funds, trading desks, family offices, technical consultancies and the advisers who serve them. They are not intended for consumers and are not marketed to individuals acting outside a trade or profession.

By sending an enquiry you confirm that you are at least eighteen years old and that you have authority to act for the organisation you name. If you are an individual holder of a claim package, you may still engage us, but the engagement is treated as a professional engagement and these terms apply in full.

We may decline an engagement for any lawful reason, including a conflict of interest, a lack of capacity to perform the work within the requested period or a concern about the source of the documents. If we decline we will say so promptly and will not charge for the initial conversation.

5. Review Engagements

An engagement begins when the company and the client sign an engagement note that records the scope, the fee, the records to be provided, the expected delivery date and the retention period. A conversation, an enquiry or an acknowledgment of receipt does not create an engagement. Work begins only when the engagement note is signed and, where the note requires it, a deposit has cleared.

The engagement note is the controlling document for that engagement. It may vary these terms by written agreement, and it may add specific duties such as a requirement to use a particular format, a requirement to hold a closing meeting or a requirement to report a finding within a set period. Where the note is silent, these terms apply.

We perform the work with reasonable skill and care in accordance with the method described on the services page. We do not guarantee a particular outcome, because the outcome depends on the quality of the records the client provides and on matters outside our control such as the conduct of a granting authority or the availability of a laboratory.

6. Scope of the Six Lanes

The company offers six review lanes: Claims Ledger Bays, Assay Report Runs, Offtake Note Desks, Tenement Status Windows, Resource Estimate Reviews and Shipment Booking Sittings. Each lane is defined by the written method published on the services page at the time the engagement note is signed. We may refine methods over time, but a refinement does not change work already in progress unless both parties agree in writing.

Where a lane produces a comparison, the comparison is a factual presentation of two documents and not a recommendation about which document should prevail. Where a lane produces a rebuild, the rebuild is a test of whether the published inputs can be reached again and not a replacement estimate. Where a lane produces a status sheet, the status sheet reflects the register as at the date of the check and is not a warranty of continuing title.

Lanes may be engaged together or separately. Engaging one lane does not imply that the others have been performed, and a client should not assume that a closed file covers a lane it did not engage. Our closing summary states which lanes were performed and which were not.

7. Client Duties and Document Quality

The client agrees to provide complete and legible records, to identify the source of each bundle, to say whether a document has been superseded and to flag any known gap at intake. The value of a review rests on the record, and a review of a partial record is still useful but must be described as partial.

The client confirms that it has the right to share every document it sends and that doing so does not breach a duty owed to a third party, such as a confidentiality agreement with a joint venture partner. If a document is subject to a restriction, the client should tell us before sending it and we will agree a handling note.

The client agrees to respond to reasonable questions within a stated period, to nominate a single point of contact and to keep us informed of any change that may affect the file, such as a renewal being filed or a claim being transferred. Where a delay caused by the client affects the delivery date, the delivery date moves by the length of the delay.

8. Fees, Invoicing and Payment

Fees are set in the engagement note and are based on the scope agreed. Unless the note says otherwise, a deposit of half the fee is payable before intake and the balance is payable within fourteen days of delivery. Invoices are issued in Hong Kong dollars unless the note names another currency.

Where the scope changes after intake, we will send a written variation before performing the extra work and will not charge for extra work without agreement. Work performed at the client request before a variation is signed is charged at the rate in the engagement note.

Late payment may attract interest at a reasonable commercial rate from the due date until payment clears, and we may suspend work on an open file while an invoice remains unpaid for more than thirty days. Suspension does not release the client from the fee for work already performed.

9. Deliverables and Findings

Deliverables are described in the engagement note. A typical close includes a summary, a support table, a list of open items and a copy of the reviewer notes where the client has asked for them. Deliverables are provided in the format named in the note, usually a portable document file and a spreadsheet.

A finding is an observation tied to a document. It is not a certification of that document, and it does not mean that the document is true. Where we say that a certificate supports a grade, we mean that the certificate reports that grade by a stated method; we do not mean that the grade exists in the ground beyond what the sampling supports.

The client may use deliverables for its own internal purposes, for a transaction in which it is a party and for discussions with its advisers, provided that any wider circulation carries the qualifiers we have written into the file. Deliverables may not be published, quoted in a public offering document or used in advertising without written consent.

10. No Legal, Tax or Investment Advice

Nothing on this website and nothing in a review deliverable is legal advice, tax advice, investment advice or a recommendation to buy, sell or hold any asset. The company is not licensed to give such advice and does not do so. Where a client needs advice of that kind, the client should consult a qualified professional in the relevant jurisdiction.

A review may describe the effect of a clause, but that description is factual and is not a legal opinion. A review may describe the tax treatment recorded in a document, but it does not calculate a tax liability. A review may describe the commercial position reflected in an offtake note, but it does not recommend a commercial course.

Decisions taken by a client on the basis of a review remain the client decisions. We are happy to discuss a finding and to answer questions about method, and we encourage clients to do so before acting on any file.

11. Confidentiality

Each party agrees to keep confidential the information it receives from the other in connection with an engagement and to use that information only for the engagement. This duty covers commercial data, personal data and the fact that an engagement exists where the client asks for that fact to be kept private.

The duty does not extend to information that is already public, that was lawfully known before the engagement began, that is received from a third party without a duty of confidence or that must be disclosed by law. Where disclosure is required by law, the party under the duty will give the other party as much notice as the law allows.

The duty survives the end of an engagement and the end of any employment or contract. Staff and contractors confirm the duty in writing at the start of work and again at the close of each engagement.

12. Intellectual Property

The text, layout, styling and code of this website belong to the company or are used under licence. The name Huayou International Lithium (Hong Kong) Limited and the practice marks on this site belong to the company. Nothing in these terms transfers ownership of any of that material to a visitor.

The client keeps ownership of the records it sends and of any data contained in them. The company keeps ownership of its method, its templates, its working notes and its general know how. Where a deliverable reproduces client data, the client retains the rights in that data and the company retains the rights in the presentation.

Where a client wishes to use a deliverable beyond the internal and transaction uses described in these terms, the client should ask for written permission. We usually give it for a reasonable purpose, and we usually ask for a suitable qualifier to travel with the document.

13. Third Party Materials and Links

This website may link to registers, laboratories, industry bodies or other sites that are not under our control. A link is provided for convenience and does not mean that we endorse the site or that we are responsible for its content. If a link stops working, tell us and we will check it.

Where a review relies on a third party record such as a public register or a laboratory certificate, we report what the record says at the date of the check. We do not warrant that a third party record is accurate, complete or current, and we do not accept responsibility for a change made by a third party after the check.

Where an engagement requires us to deal with a specialist or a service provider, we will tell the client before the provider is engaged and will pass on only the data needed for the task. The provider is engaged for the purpose of the engagement and remains responsible for its own work.

14. Website Availability

We aim to keep this website available and accurate but we do not promise uninterrupted access. The site may be unavailable during maintenance, during an update or because of a failure in a network or hosting provider that we do not control. Planned maintenance is usually brief and is usually carried out outside Hong Kong business hours.

Content on the site may change as the practice develops. A service description, a policy version or a contact detail may change without notice. The version in force at the time of an engagement is the version recorded with the engagement note, so a later change does not affect an engagement already in progress.

If a page is broken or a detail is wrong, tell us at connect@haersinvest.lat and we will correct it. We would rather be told than have a visitor rely on an error.

15. Limitation of Liability

Nothing in these terms limits liability for fraud, for wilful misconduct or for any liability that cannot be limited by law. Subject to that, the company is not liable for indirect or consequential loss, for loss of profit, for loss of opportunity or for loss of anticipated saving arising from the use of this website or from an engagement.

The company liability for an engagement is limited to the fee paid for that engagement. Where a review was performed for a fee of a fixed amount, that amount is the ceiling. Where the client wishes to carry a different ceiling, the client may ask for an increased limit and the company may agree in writing for an additional fee that reflects the risk.

The company is not liable for a loss caused by a document that was incomplete, illegible or superseded when it was provided, nor for a loss caused by a decision the client took against a finding in a review. The client is responsible for verifying a finding before acting on it in a transaction of consequence.

16. Indemnity

The client agrees to indemnify the company against any claim, loss or cost arising from a breach by the client of these terms, including a claim by a third party that the client did not have the right to share a document. The indemnity covers the reasonable cost of defending a claim and the reasonable cost of any settlement agreed by the client.

The indemnity does not apply to the extent that a claim arises from the company own negligence or breach of duty. It does not apply to a claim that the company could have avoided with reasonable care. It is a protection against a client passing on risk that belongs to the client, not a general shield against liability.

Where a claim is made, the company will notify the client promptly and will allow the client to participate in the defence. The company will not settle a claim in a way that admits fault without the client agreement, unless the law requires a settlement to be made.

17. Suspension and Termination

Either party may end an engagement by written notice. Where the client ends an engagement, the client pays for work performed up to the date of notice, including the cost of returning records. Where the company ends an engagement for a reason other than a client breach, the company refunds the part of the fee that relates to work not performed.

The company may suspend or end an engagement immediately if it has a reasonable belief that a document is fraudulent, that a client has misrepresented a material fact or that continuing the work would breach a law or a professional duty. In such a case the company will state its reason in writing, subject to any limit imposed by law.

On the end of an engagement, records are returned or destroyed according to the retention term in the engagement note. The confidentiality duty and the liability provisions survive the end of the engagement.

18. Force Majeure

Neither party is liable for a delay caused by an event outside its reasonable control, including a natural disaster, a public health emergency, an interruption to transport or power, a failure of a public network or a change in law that prevents performance. The affected party will tell the other party promptly and will take reasonable steps to reduce the delay.

Where a force majeure event continues for more than sixty days, either party may end the engagement by written notice. On ending, the client pays for work performed up to the date of the event and the company returns records as agreed.

A force majeure event does not excuse a payment that fell due before the event. It excuses only the performance that the event prevents, and only for as long as the event continues.

19. Governing Law and Disputes

These terms and every engagement are governed by the laws of Hong Kong. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, subject to any agreement in an engagement note to refer a particular dispute to arbitration.

Before starting a formal proceeding, the parties will try to resolve a dispute by discussion between senior representatives within twenty working days of a written notice of dispute. This step is a condition of starting a proceeding except where a party needs urgent relief to protect a right.

If the discussion does not resolve the matter, either party may bring a claim in the courts of Hong Kong. Each party bears its own cost of the discussion stage, and the court decides the cost of any proceeding.

20. Changes to These Terms

We may update these terms from time to time to reflect a change in the practice, in the law or in the way the website is operated. The date at the top of the page shows when the current version took effect. A material change is notified to clients with an active engagement by email before it takes effect.

A change does not apply to an engagement already in progress unless both parties agree in writing. A client who continues to use the website after a change takes effect accepts the new version for visits made after that date.

Earlier versions are kept with the legal records of the company so that a question about past practice can be answered accurately. A copy of an earlier version is available on request.

21. Contact and Notices

Notices under these terms should be sent in writing to Huayou International Lithium (Hong Kong) Limited at Rm 15 5/F Hung Hom Commercial Centre Tower B, 37 Ma Tau Wai Rd, Hung Hom, Hong Kong - 999077, Hong Kong (HK), or by email to connect@haersinvest.lat. A notice sent by email is treated as received on the next working day after it is sent, provided that the sender does not receive a delivery failure message.

For ordinary questions about the website or about the services described on it, the fastest route is the contact page. For a question about an engagement, use the reference number in the engagement note so that the message reaches the right bay.

By telephone, the company can be reached on +18509772246 during business hours from Monday to Friday. Calls may be noted in a short record of the conversation, and that record is kept with the engagement file if the call relates to an engagement.
